Toronto, Ontario, June 29, 2016 – Nighthawk Gold Corp. (“Nighthawk” or the “Company”) (TSX Venture Exchange: NHK) is pleased to announce that it has completed its previously announced non-brokered private placement (the “Offering”), pursuant to which the Company issued 4,444,444 common shares (the “Common Shares”) at a price of $0.225 per Common Share and 16,666,667 common share, which qualify as a "flow-through shares" within the meaning of the Income Tax Act (Canada) (“FT Shares”) at a price of $0.30 per FT Share for aggregate gross proceeds of $6,000,000.
The gross proceeds from the sale of the FT Shares will be used for exploration on Nighthawk’s Indin Lake Gold Property located in the Northwest Territories. The net proceeds from the sale of the Common Shares will be used for general working capital purposes.
The securities issued under the Offering are subject to a hold period expiring October 30, 2016 in accordance with the rules and policies of the TSX Venture Exchange and applicable Canadian securities laws and such further restrictions as may apply under foreign securities laws. Certain directors and officers of Nighthawk participated in the Offering, who in the aggregate purchased 350,000 Common Shares and 67,000 FT Shares for aggregate proceeds of $98,850. In addition, the Company paid certain advisory and cash finder’s fees which totalled $156,550. The Offering remains subject to the final approval of the TSX Venture Exchange.
Nighthawk is a Canadian-based exploration company focused on acquiring and developing gold mineral properties in the Northwest Territories and Northern Ontario. Including the mineral claims and leases of the Colomac Gold Project, Nighthawk’s Indin Lake Gold Property comprises a total land package of 222,203 acres in the Indin Lake Greenstone Belt, located approximately 200 kilometres north of Yellowknife, Northwest Territories.
